										<content:encoded><![CDATA[<p data-start="7246" data-end="7627">After the proposal (or sometimes instead of it), Italian real estate buying and selling is often structured with a <strong data-start="7354" data-end="7379">preliminary contract</strong>. For a foreign buyer, the preliminary is the document that should make the transaction &#8220;solid&#8221;: it defines obligations, timing, verifications and economic consequences. If it is generic or incomplete, however, it becomes the main generator of litigation.  </p>
<h3 data-start="7629" data-end="7689">What is foreplay and why it matters more than it seems</h3>
<p data-start="7690" data-end="8161">The preliminary is the agreement by which the parties undertake to enter into the final contract (deed). It is governed, among other things, by Articles <strong data-start="7834" data-end="7847">1351 Civil Code</strong> (form of the preliminary) and <strong data-start="7874" data-end="7887">2932 Civil Code</strong> (specific performance of the obligation to conclude the contract).<br data-start="7960" data-end="7963">Simply put: if one party refuses to reach the deed, the other can seek judicial protection, and in certain cases obtain a judgment that produces similar effects to the final contract. </p>
<p data-start="8163" data-end="8215">For foreign buyers, it is crucial because often:</p>
<ul data-start="8216" data-end="8416">
<li data-start="8216" data-end="8304">
<p data-start="8218" data-end="8304">times are longer (foreign banks, international transfers, power of attorney, translations);</p>
</li>
<li data-start="8305" data-end="8363">
<p data-start="8307" data-end="8363">you want to reduce the risk of the seller changing his or her mind;</p>
</li>
<li data-start="8364" data-end="8416">
<p data-start="8366" data-end="8416">it is necessary to &#8220;armor&#8221; documentation and delivery.</p>
</li>
</ul>
<h3 data-start="8418" data-end="8484">Accepted and preliminary proposal: essential coordination</h3>
<p data-start="8485" data-end="8758">Many foreign buyers think, &#8220;I&#8217;ll sign the proposal and then fix everything in the preliminary.&#8221; But if the accepted proposal is already binding, the preliminary must be consistent: amounts, deadlines and conditions cannot contradict each other without creating fertile ground for disputes. </p>
<h3 data-start="8760" data-end="8836">What a well-done preliminary must contain (especially for foreigners)</h3>
<p data-start="8837" data-end="8903">A professional preliminary should clearly regulate:</p>
<p data-start="8905" data-end="9072"><strong data-start="8905" data-end="8950">1) Complete identification of the property</strong><br data-start="8950" data-end="8953">Land registry data, appurtenances, common parts, any furnishings included. It is essential to avoid ambiguity about what is being purchased. </p>
<p data-start="9074" data-end="9101"><strong data-start="9074" data-end="9099">2) Price and payment</strong></p>
<ul data-start="9102" data-end="9233">
<li data-start="9102" data-end="9144">
<p data-start="9104" data-end="9144">Amounts already paid (deposit/deposit);</p>
</li>
<li data-start="9145" data-end="9170">
<p data-start="9147" data-end="9170">payment schedule;</p>
</li>
<li data-start="9171" data-end="9197">
<p data-start="9173" data-end="9197">traceable tools;</p>
</li>
<li data-start="9198" data-end="9233">
<p data-start="9200" data-end="9233">Consequences in case of delay.</p>
</li>
</ul>
<p data-start="9235" data-end="9415"><strong data-start="9235" data-end="9263">3) Conditions precedent</strong> (Art. <strong data-start="9271" data-end="9288">1353 ff. Civil Code</strong>)<br data-start="9289" data-end="9292">They are often decisive for those buying from abroad: mortgage, documentary verification, property release, cancellation of encumbrances.</p>
<p data-start="9417" data-end="9678"><strong data-start="9417" data-end="9468">4) Seller&#8217;s documentation and statements</strong><br data-start="9468" data-end="9471">Much of the security of the transaction is at stake here. A &#8220;weak&#8221; preliminary is limited to general phrases. A &#8220;strong&#8221; preliminary provides for obligations and remedies if the documents do not arrive or are problematic.  </p>
<p data-start="9680" data-end="9813"><strong data-start="9680" data-end="9717">5) Property delivery and status</strong><br data-start="9717" data-end="9720">Key delivery date, vacant/occupied property, management of any leases.</p>
<h3 data-start="9815" data-end="9882">Registration and transcription of the preliminary: two different plans</h3>
<ul data-start="9883" data-end="10422">
<li data-start="9883" data-end="10113">
<p data-start="9885" data-end="10113"><strong data-start="9885" data-end="9902">Registration</strong>: is a compulsory tax requirement (with taxes and marks) and is linked to the Consolidated Register Act<strong data-start="10003" data-end="10022">(Presidential Decree 131/1986</strong>). Registration does not &#8220;protect&#8221; the buyer from subsequent sales to third parties or mortgages. </p>
</li>
<li data-start="10114" data-end="10422">
<p data-start="10116" data-end="10422"><strong data-start="10116" data-end="10132">Transcription</strong>: it is the strongest protection. Article <strong data-start="10164" data-end="10181">2645-bis</strong> of the <strong data-start="10164" data-end="10181">Civil Code</strong> allows the transcription of the preliminary, producing a &#8220;reservation&#8221; effect of the purchase: if after the preliminary, the seller attempts to sell to a third party or suffers inscriptions/foreclosures, the transcribing buyer is much better protected. </p>
</li>
</ul>
<p data-start="10424" data-end="10565">For a foreigner who invests significant sums and has complex operating times, transcribing the preliminary is often a strategic choice.</p>
<h3 data-start="10567" data-end="10634">Remedies for non-performance: down payment, termination, clauses</h3>
<p data-start="10635" data-end="10676">In the preliminary, it is appropriate to regulate:</p>
<ul data-start="10677" data-end="10988">
<li data-start="10677" data-end="10745">
<p data-start="10679" data-end="10745"><strong data-start="10679" data-end="10704">down payment</strong> (art. <strong data-start="10711" data-end="10724">1385 Civil Code</strong>) or other guarantees;</p>
</li>
<li data-start="10746" data-end="10791">
<p data-start="10748" data-end="10791"><strong data-start="10748" data-end="10767">Penalty clauses</strong> (art. <strong data-start="10774" data-end="10787">1382 Civil Code</strong>);</p>
</li>
<li data-start="10792" data-end="10988">
<p data-start="10794" data-end="10988"><strong data-start="10794" data-end="10826">Express termination clause</strong> (Art. <strong data-start="10833" data-end="10846">1456 Civil Code</strong>) or <strong data-start="10850" data-end="10874">notice to comply</strong> (Art. <strong data-start="10881" data-end="10894">1454 Civil Code</strong>) in typical cases (failure to deliver documents, failure to cancel mortgages, serious delays).</p>
</li>
</ul>
<h3 data-start="10990" data-end="11060">Conclusion: the preliminary is the &#8220;real contract&#8221; before the deed</h3>
<p data-start="11061" data-end="11307">For those buying from abroad, the preliminary is not a formality: it is the document that must manage timing, payments, and risks. Legal advice at this stage serves to transform the preliminary into an operational guide and effective protection. </p>
