The irrevocable purchase proposal: what it is and why it is dangerous if underestimated<\/h2>\n<h3 data-start=\"1390\" data-end=\"1437\">1.1 Normative foundation and practical function<\/h3>\n<p data-start=\"1439\" data-end=\"1699\">The irrevocable purchase proposal is governed by Article 1329 of the Civil Code, which allows the offeror to <strong data-start=\"1542\" data-end=\"1572\">unilaterally bind<\/strong> himself to hold his offer firm for a specified period.<br data-start=\"1637\" data-end=\"1640\">In the real estate industry, it is used primarily to: <\/p>\n<ul data-start=\"1701\" data-end=\"1846\">\n<li data-start=\"1701\" data-end=\"1743\">\n<p data-start=\"1703\" data-end=\"1743\">&#8220;freeze&#8221; the buyer&#8217;s interest;<\/p>\n<\/li>\n<li data-start=\"1744\" data-end=\"1798\">\n<p data-start=\"1746\" data-end=\"1798\">To allow the seller a comparative evaluation;<\/p>\n<\/li>\n<li data-start=\"1799\" data-end=\"1846\">\n<p data-start=\"1801\" data-end=\"1846\">Anticipate the future stipulation of the preliminary.<\/p>\n<\/li>\n<\/ul>\n<h3 data-start=\"1848\" data-end=\"1906\">1.2 From proposal to preliminary: the point of no return<\/h3>\n<p data-start=\"1908\" data-end=\"2166\">The most recent case law is extremely clear:<br data-start=\"1960\" data-end=\"1963\"><strong data-start=\"1963\" data-end=\"2058\">when the irrevocable proposal contains all the essential elements of the future contract<\/strong> and is <strong data-start=\"2067\" data-end=\"2094\">accepted by the seller<\/strong>, it <strong data-start=\"2101\" data-end=\"2165\">becomes a preliminary contract for all purposes<\/strong>.<\/p>\n<p data-start=\"2168\" data-end=\"2263\">According to numerous substantive 2024-2025 decisions, the proposal is not a &#8220;neutral act&#8221; if it contains:<\/p>\n<ul data-start=\"2265\" data-end=\"2500\">\n<li data-start=\"2265\" data-end=\"2295\">\n<p data-start=\"2267\" data-end=\"2295\">party identification;<\/p>\n<\/li>\n<li data-start=\"2296\" data-end=\"2324\">\n<p data-start=\"2298\" data-end=\"2324\">property description;<\/p>\n<\/li>\n<li data-start=\"2325\" data-end=\"2358\">\n<p data-start=\"2327\" data-end=\"2358\">price and mode of payment;<\/p>\n<\/li>\n<li data-start=\"2359\" data-end=\"2383\">\n<p data-start=\"2361\" data-end=\"2383\">deadline for deed;<\/p>\n<\/li>\n<li data-start=\"2384\" data-end=\"2422\">\n<p data-start=\"2386\" data-end=\"2422\">provision for down payment;<\/p>\n<\/li>\n<li data-start=\"2423\" data-end=\"2500\">\n<p data-start=\"2425\" data-end=\"2500\">indications of urban conformity and absence of detrimental constraints.<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"2502\" data-end=\"2781\">In such cases, the seller&#8217;s acceptance-once known to the proposer-determines <strong data-start=\"2595\" data-end=\"2642\">the creation of a full contractual bond<\/strong>, with application of the rules on the preliminary, including the possibility of action under Article 2932 of the Civil Code.<\/p>\n<h3 data-start=\"2783\" data-end=\"2827\">1.3 Irrevocability and expiration of the time limit<\/h3>\n<p data-start=\"2829\" data-end=\"2920\">The period of irrevocability is <strong data-start=\"2868\" data-end=\"2882\">essential<\/strong> in nature.<br data-start=\"2883\" data-end=\"2886\">Case law has clarified that:<\/p>\n<ul data-start=\"2922\" data-end=\"3108\">\n<li data-start=\"2922\" data-end=\"3015\">\n<p data-start=\"2924\" data-end=\"3015\">If the seller accepts <strong data-start=\"2948\" data-end=\"2968\">after the deadline<\/strong>, the acceptance is equivalent to a <strong data-start=\"2996\" data-end=\"3014\">new proposal<\/strong>;<\/p>\n<\/li>\n<li data-start=\"3016\" data-end=\"3108\">\n<p data-start=\"3018\" data-end=\"3108\">If, on the other hand, acceptance occurs in a <strong data-start=\"3054\" data-end=\"3073\">timely manner<\/strong>, the lien automatically arises.<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"3110\" data-end=\"3272\">This profile is often ignored in real estate agency practice, with the risk of disputes over timeliness and communication of acceptance.<\/p>\n<h2 data-start=\"3279\" data-end=\"3363\">2.
