{"id":2416,"date":"2025-12-19T08:37:45","date_gmt":"2025-12-19T08:37:45","guid":{"rendered":"https:\/\/studio-mauro.it\/non-categorizzato\/the-period-of-effectiveness-of-the-preliminary-contract-of-real-estate-purchase-and-sale\/"},"modified":"2025-12-19T08:37:45","modified_gmt":"2025-12-19T08:37:45","slug":"the-period-of-effectiveness-of-the-preliminary-contract-of-real-estate-purchase-and-sale","status":"publish","type":"post","link":"https:\/\/studio-mauro.it\/en\/real-estate-law\/the-period-of-effectiveness-of-the-preliminary-contract-of-real-estate-purchase-and-sale\/","title":{"rendered":"The period of effectiveness of the preliminary contract of real estate purchase and sale"},"content":{"rendered":"<p data-start=\"524\" data-end=\"999\">The <strong data-start=\"527\" data-end=\"581\">preliminary contract for real estate purchase and sale<\/strong> is a central instrument in negotiation practice, but it frequently raises delicate questions of interpretation regarding the <strong data-start=\"711\" data-end=\"735\">period of effectiveness<\/strong>, the <strong data-start=\"742\" data-end=\"770\">statute of limitations on rights<\/strong>, and the <strong data-start=\"778\" data-end=\"811\">effects of the passage of time<\/strong>.<br data-start=\"812\" data-end=\"815\">The correct identification of the applicable legal regime is essential in assessing whether and how far a party may demand the stipulation of the definitive or assert other remedies.<\/p>\n<h2 data-start=\"1006\" data-end=\"1050\">The legal framework: article 2645-bis of the Civil Code. <\/h2>\n<p data-start=\"1052\" data-end=\"1206\">The main normative reference is<strong data-start=\"1092\" data-end=\"1114\">Article 2645-bis<\/strong> of the<strong data-start=\"1092\" data-end=\"1114\">Civil Code<\/strong>, which regulates the <strong data-start=\"1134\" data-end=\"1176\">transcription of the preliminary contract<\/strong>.<br data-start=\"1177\" data-end=\"1180\">Paragraph 3 stipulates that:<\/p>\n<blockquote data-start=\"1208\" data-end=\"1571\">\n<p data-start=\"1210\" data-end=\"1571\">&#8220;The effects of the transcription of the preliminary contract shall cease and shall be deemed as never produced if within one year from the agreed date for the conclusion of the final contract, and in any case within three years from the transcription, the final contract, an executory act of the preliminary contract, or the court application pursuant to Article 2652, No. 2, Civil Code, is not transcribed.&#8221;<\/p>\n<\/blockquote>\n<p data-start=\"1573\" data-end=\"1672\">Thus, the rule introduces a <strong data-start=\"1602\" data-end=\"1634\">dual period of effectiveness<\/strong>, operating whichever expires first:<\/p>\n<ul data-start=\"1673\" data-end=\"1776\">\n<li data-start=\"1673\" data-end=\"1725\">\n<p data-start=\"1675\" data-end=\"1725\"><strong data-start=\"1675\" data-end=\"1686\">One year<\/strong> from the scheduled final date;<\/p>\n<\/li>\n<li data-start=\"1726\" data-end=\"1776\">\n<p data-start=\"1728\" data-end=\"1776\"><strong data-start=\"1728\" data-end=\"1740\">Three years<\/strong> from the transcription of the preliminary.<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"1778\" data-end=\"1993\">The Supreme Court has clarified that these rules <strong data-start=\"1833\" data-end=\"1878\">do not affect the validity of the preliminary<\/strong>, but only the <strong data-start=\"1904\" data-end=\"1946\">reservation effects of the transcript<\/strong> (Cass. civ. sec. II, March 16, 2018, no. 6550).<\/p>\n<h2 data-start=\"2000\" data-end=\"2068\">Transcribed and untranscribed preliminaries: a decisive distinction<\/h2>\n<p data-start=\"2070\" data-end=\"2101\">It is crucial to distinguish between:<\/p>\n<ul data-start=\"2102\" data-end=\"2291\">\n<li data-start=\"2102\" data-end=\"2190\">\n<p data-start=\"2104\" data-end=\"2190\"><strong data-start=\"2104\" data-end=\"2130\">transcribed preliminaries<\/strong>, subject to the special discipline of Article 2645-bis of the Civil Code; <\/p>\n<\/li>\n<li data-start=\"2191\" data-end=\"2291\">\n<p data-start=\"2193\" data-end=\"2291\"><strong data-start=\"2193\" data-end=\"2223\">untranscribed preliminaries<\/strong>, governed by the <strong data-start=\"2238\" data-end=\"2290\">general principles of the law of obligations<\/strong>.<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"2293\" data-end=\"2479\">For <strong data-start=\"2311\" data-end=\"2329\">untranscribed<\/strong> preliminaries, case law is consistent that the right to enter into the final contract <strong data-start=\"2426\" data-end=\"2478\">is prescribed in the ordinary term of ten years<\/strong>.<\/p>\n<p data-start=\"2481\" data-end=\"2512\">The Supreme Court has stated that:<\/p>\n<blockquote data-start=\"2513\" data-end=\"2773\">\n<p data-start=\"2515\" data-end=\"2773\">&#8220;The right to the conclusion of the final contract arising from the preliminary contract is subject to the ordinary ten-year statute of limitations, commencing from the expiration of the term provided for the conclusion of the final contract.&#8221;<br data-start=\"2722\" data-end=\"2725\">(Cass. civ., sec. II, Jan. 19, 2017, no. 1364).<\/p>\n<\/blockquote>\n<p data-start=\"2775\" data-end=\"2978\">Accordingly, the  <strong data-start=\"2797\" data-end=\"2839\">Court of Rome, sent. n. 14120\/2024<\/strong>, reiterated that the statute of limitations runs <strong data-start=\"2881\" data-end=\"2915\">not from the date of the preliminary<\/strong>, but from the <strong data-start=\"2926\" data-end=\"2977\">expiration of the agreed term for the final<\/strong>.<\/p>\n<h2 data-start=\"2985\" data-end=\"3043\">The deadline for finality: essential or ordinal?<\/h2>\n<p data-start=\"3045\" data-end=\"3170\">One of the most controversial issues concerns <strong data-start=\"3091\" data-end=\"3121\">the qualification of the time limit<\/strong> set for entering into the final contract.<\/p>\n<p data-start=\"3172\" data-end=\"3210\">According to established case law:<\/p>\n<ul data-start=\"3211\" data-end=\"3348\">\n<li data-start=\"3211\" data-end=\"3255\">\n<p data-start=\"3213\" data-end=\"3255\">the term <strong data-start=\"3224\" data-end=\"3254\">is not essential as a rule<\/strong>;<\/p>\n<\/li>\n<li data-start=\"3256\" data-end=\"3348\">\n<p data-start=\"3258\" data-end=\"3348\">essentiality must emerge <strong data-start=\"3287\" data-end=\"3318\">clearly and unambiguously<\/strong> from the contract or context.<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"3350\" data-end=\"3390\">The Supreme Court made it clear that:<\/p>\n<blockquote data-start=\"3391\" data-end=\"3665\">\n<p data-start=\"3393\" data-end=\"3665\">&#8220;The essentiality of the deadline cannot be inferred from the mere expression &#8216;by and no later,&#8217; but requires proof that the parties intended to link the loss of economic interest in the contract to its unnecessary expiration.&#8221;<br data-start=\"3614\" data-end=\"3617\">(Cass. civ., sec. II, April 27, 2022, no. 13156).<\/p>\n<\/blockquote>\n<p data-start=\"3667\" data-end=\"3763\">La  <strong data-start=\"3670\" data-end=\"3718\">Court of Appeals of Genoa, sent. n. 342\/2025<\/strong>, clarified that the assessment should be conducted:<\/p>\n<ul data-start=\"3764\" data-end=\"3906\">\n<li data-start=\"3764\" data-end=\"3818\">\n<p data-start=\"3766\" data-end=\"3818\">Based on the <strong data-start=\"3781\" data-end=\"3817\">overall tenor of the contract<\/strong>;<\/p>\n<\/li>\n<li data-start=\"3819\" data-end=\"3854\">\n<p data-start=\"3821\" data-end=\"3854\">Of the <strong data-start=\"3827\" data-end=\"3853\">nature of the transaction<\/strong>;<\/p>\n<\/li>\n<li data-start=\"3855\" data-end=\"3906\">\n<p data-start=\"3857\" data-end=\"3906\">Of the set of interests pursued by the parties.<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"3908\" data-end=\"4020\">Otherwise, the  <strong data-start=\"3925\" data-end=\"3968\">Court of Milan, sent. n. 6434\/2024<\/strong>, recognized the essentiality of the term when:<\/p>\n<ul data-start=\"4021\" data-end=\"4174\">\n<li data-start=\"4021\" data-end=\"4089\">\n<p data-start=\"4023\" data-end=\"4089\">the preliminary included an <strong data-start=\"4052\" data-end=\"4088\">express ineffectiveness clause<\/strong>;<\/p>\n<\/li>\n<li data-start=\"4090\" data-end=\"4174\">\n<p data-start=\"4092\" data-end=\"4174\">the term was related to the <strong data-start=\"4122\" data-end=\"4151\">duration of the surety<\/strong> bond issued as security.<\/p>\n<\/li>\n<\/ul>\n<h2 data-start=\"4181\" data-end=\"4217\">The waiver of the essential term<\/h2>\n<p data-start=\"4219\" data-end=\"4327\">Even when there is an <strong data-start=\"4243\" data-end=\"4265\">essential time limit<\/strong>, the interested party may <strong data-start=\"4292\" data-end=\"4307\">waive it<\/strong>, even tacitly.<\/p>\n<p data-start=\"4329\" data-end=\"4355\">According to case law:<\/p>\n<blockquote data-start=\"4356\" data-end=\"4538\">\n<p data-start=\"4358\" data-end=\"4538\">&#8220;The waiver of the essentiality of the term may be inferred from concluding conduct inconsistent with the intention to avail of it&#8221;<br data-start=\"4487\" data-end=\"4490\">(Cass. civ. sec. II, Feb. 5, 2016, No. 2313).<\/p>\n<\/blockquote>\n<p data-start=\"4540\" data-end=\"4633\">La  <strong data-start=\"4543\" data-end=\"4592\">Court of Appeals of Venice, sent. n. 524\/2025<\/strong>, identified as indices of waiver:<\/p>\n<ul data-start=\"4634\" data-end=\"4793\">\n<li data-start=\"4634\" data-end=\"4682\">\n<p data-start=\"4636\" data-end=\"4682\">The continuation of the relationship beyond the term;<\/p>\n<\/li>\n<li data-start=\"4683\" data-end=\"4713\">\n<p data-start=\"4685\" data-end=\"4713\">The occupation of the property;<\/p>\n<\/li>\n<li data-start=\"4714\" data-end=\"4752\">\n<p data-start=\"4716\" data-end=\"4752\">The payment of installments, charges or mortgages;<\/p>\n<\/li>\n<li data-start=\"4753\" data-end=\"4793\">\n<p data-start=\"4755\" data-end=\"4793\">The absence of timely challenges.<\/p>\n<\/li>\n<\/ul>\n<h2 data-start=\"4800\" data-end=\"4851\">Preliminary and conditions precedent or termination<\/h2>\n<p data-start=\"4853\" data-end=\"5010\">Particular attention should be paid to <strong data-start=\"4887\" data-end=\"4915\">preliminaries that are conditional<\/strong>, such as the issuance of a <strong data-start=\"4946\" data-end=\"4971\">building permit<\/strong> or obtaining financing.<\/p>\n<p data-start=\"5012\" data-end=\"5028\">In such cases:<\/p>\n<ul data-start=\"5029\" data-end=\"5198\">\n<li data-start=\"5029\" data-end=\"5114\">\n<p data-start=\"5031\" data-end=\"5114\">the effective date is closely related to the<strong data-start=\"5081\" data-end=\"5113\">fulfillment of the condition<\/strong>;<\/p>\n<\/li>\n<li data-start=\"5115\" data-end=\"5198\">\n<p data-start=\"5117\" data-end=\"5198\">failure to fulfill within the time limit results in<strong data-start=\"5168\" data-end=\"5197\">the ineffectiveness of the contract<\/strong>.<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"5200\" data-end=\"5416\">La  <strong data-start=\"5203\" data-end=\"5250\">Court of Appeals of Rome, sent. n. 5242\/2025<\/strong>, clarified that where there is a condition precedent with a final term, the contract <strong data-start=\"5343\" data-end=\"5366\">does not take effect<\/strong> if the condition is not fulfilled in a timely manner.<\/p>\n<h2 data-start=\"5423\" data-end=\"5475\">Prescription of rights arising from the preliminary<\/h2>\n<p data-start=\"5477\" data-end=\"5546\">For untranscribed preliminaries, the 10-year statute of limitations applies:<\/p>\n<ul data-start=\"5547\" data-end=\"5684\">\n<li data-start=\"5547\" data-end=\"5588\">\n<p data-start=\"5549\" data-end=\"5588\">The right to the stipulation of the definitive;<\/p>\n<\/li>\n<li data-start=\"5589\" data-end=\"5613\">\n<p data-start=\"5591\" data-end=\"5613\">the right of withdrawal;<\/p>\n<\/li>\n<li data-start=\"5614\" data-end=\"5653\">\n<p data-start=\"5616\" data-end=\"5653\">The right to damages;<\/p>\n<\/li>\n<li data-start=\"5654\" data-end=\"5684\">\n<p data-start=\"5656\" data-end=\"5684\">The application under Article 2932 of the Civil Code.<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"5686\" data-end=\"5874\">The  <strong data-start=\"5689\" data-end=\"5730\">Court of Paola, sent. n. 933\/2024<\/strong>, reiterated the application of Articles <strong data-start=\"5771\" data-end=\"5797\">2934, 2935 and 2946 Civil Code<\/strong>, confirming that the passage of time can preclude any judicial protection.<\/p>\n<h2 data-start=\"5881\" data-end=\"5895\">Conclusions<\/h2>\n<p data-start=\"5897\" data-end=\"6005\">The <strong data-start=\"5900\" data-end=\"5962\">period of effectiveness of the real estate preliminary contract<\/strong> is not a unitary notion, but depends on:<\/p>\n<ul data-start=\"6006\" data-end=\"6138\">\n<li data-start=\"6006\" data-end=\"6044\">\n<p data-start=\"6008\" data-end=\"6044\">Transcription or not of the preliminary;<\/p>\n<\/li>\n<li data-start=\"6045\" data-end=\"6072\">\n<p data-start=\"6047\" data-end=\"6072\">essentiality of the term;<\/p>\n<\/li>\n<li data-start=\"6073\" data-end=\"6098\">\n<p data-start=\"6075\" data-end=\"6098\">Presence of conditions;<\/p>\n<\/li>\n<li data-start=\"6099\" data-end=\"6138\">\n<p data-start=\"6101\" data-end=\"6138\">Subsequent behavior of the parties.<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"6140\" data-end=\"6452\">Jurisprudence, both of legitimacy and merit, favors a <strong data-start=\"6217\" data-end=\"6245\">substantive and functional<\/strong> interpretation, attentive to the actual negotiating will and the balance of interests.<br data-start=\"6320\" data-end=\"6323\">A proper evaluation always requires a timely analysis of the contractual clauses and the concrete context of the transaction.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>The
